The California Secretary of State requires corporations to file an Annual Statement of Officers. This filing requirement coincides with the date of incorporation.
When a corporation fails to meet this filing requirement, the California Secretary of State notifies the Franchise Tax Board to assess and collect a $250 penalty. We may also impose an additional $168 for this collection action.
Only the California Secretary of State may cancel the penalty for failing to file the Statement of Officers once the penalty is assessed. If the California Secretary of State cancels the penalty, the Franchise Tax Board will be notified and any payments or credits applied to this penalty may be refunded.
